JUSTICE OF THE PEACE LEE:
[1] The defendants, Adamson Barbecue Ltd., Adamson BBQ Ltd., and William Adamson Skelly were charged with a variety of by-law offences from November 24, 2020 to September 6, 2021. There were a total of 95 charges over 43 informations.
[2] No one identifying as the defendant William Adamson Skelly appeared, and no one appeared as representative of the defendant corporations. As such, the court proceeded to hear an ex-parte trial pursuant to s. 54 of the Provincial Offences Act, R.S.O. 1990, c. P.33.
[3] The prosecution brought an application for joinder of counts and defendants pursuant to s. 38 of the Provincial Offences Act, R.S.O. 1990, c. P.33. As all the charges arise out of the same set of circumstances over a period of time, a separate trial for each information would have been a significant waste of the court’s resources. The court was therefore satisfied that the ends of justice required that the defendants and the charges be tried together.
[4] In the interest of simplicity, I have designated each charge numerically as they appear in chronological order. A list of each charge is found in Appendix A of this judgment.
[5] For the reasons that follow, I find the defendants William Adamson Skelly guilty of the charges in counts 3, 8, 13, 18, 23, 28, 33, 38, 53, 58, 63, 68, 73, 78, 83, 88, and 93.
[6] All remaining charges on the informations before the court are dismissed.
Summary of Evidence
[7] The defendant, William Adamson Skelly, is the sole proprietor of the business “Adamson Barbeque” located at 176 Wicksteed Avenue in the City of Toronto. From November 24, 2020 to February 3, 2021, the business was operating as an eating establishment serving take out barbecue dishes including brisket, spare ribs, pulled pork, turkey and chicken, as well a number of side dishes and beverages. The facility housed a kitchen, and serving area. The facility also contained space for a dining area, however, due to the COVID-19 pandemic, the dining area was closed to customers, with tables and chairs stacked to one side of the space. The building had exterior signage displaying “Adamson Barbecue”.
[8] Sometime between February 4, 2021, and March 3, 2021, the front entrance to the facility was locked and closed to the public. In place of the brick and mortar establishment, a food truck was located on the parking space in front of the building. From March 4, 2021, to September 6, 2021, the food truck was serving food to the public.
[9] By-law enforcement officers (BLEO) with the City of Toronto conducted numerous investigations at the location of 176 and on many occasions throughout the offence dates, found the business in operation and serving customers food. Throughout the offence dates, neither the business nor the defendants possessed a licence issued by the City of Toronto allowing carrying on the trade, business or occupation of an Eating Establishment Owner or Motorized Refreshment Vehicle Owner.
Findings
Owner of a Place of Refreshments – No licence
[10] The individual defendant, William Adamson Skelly, was charged with 11 counts of an offence contrary to Chapter 545 of the Toronto Municipal Code, section 2A(33). These offences are captured in counts 3, 8, 13, 18, 23, 28, 33, 38, 53, 58, and 63 in Appendix A.
§ 545-2. Licence requirement A. There shall be taken out by the following persons a licence from the Municipal Licensing and Standards Division authorizing them respectively to carry on their several trades, businesses, and occupations in the City of Toronto for which licence the person obtaining the same shall pay to the Municipal Licensing and Standards Division at the time of taking out such licence the fee fixed by this chapter, and no person shall, within the City of Toronto, carry on or engage in any of the said trades, businesses or occupations until he or she has procured such licence so to do:
(33) Every person who owns or keeps any place for the reception, refreshment or entertainment of the public.
[11] The court heard evidence from Holly Ozaki, who is employed as an acting supervisor with Municipal Licencing and Standards (MLS). Ms. Ozaki testified that any owner of an “Eating Establishment” would need a business licence with a “Place of Refreshments” endorsement. This would allow the establishment to serve food, and would encompass restaurants with table service, takeout service and prepackaged food.
[12] For each aforementioned count, the prosecution provided a certified document under the hand and seal of the Municipal Licencing and Standards Division of the City of Toronto. This document certified that Mr. Skelly was not licensed by the City to carry on the trade, calling, business or occupation of an “Eating Establishment Owner”.
[13] The evidence presented by the prosecution in this matter involved observations made by several BLEOs on a variety of dates(s). The evidence provided by these witnesses was repetitively and consistent in terms of what was seen on each offence date(s).
- BLEO’s attended the premises at 176 Wicksteed Avenue on the date of the charge, they observed exterior signage for the business establishment “Adamson Barbecue”.
- They entered the establishment and found the business open and operating. There was a kitchen and serving station, with staff present.
- Menu boards were posted with a variety of food stuffs for sale, food was found in serving trays at the service counter.
- A beverage machine was present and there were refrigerators containing food items for sale.
- A point of sale machine was present and operational, and receipts were found for transactions that day.
- On several occasions, customers were observed interacting with staff, paying for, and receiving food items.
- No licence was displayed in the establishment, and when making a demand of the licence with the manager, none was produced.
[14] Multiple photographs were taken by the BLEOs during their visits and those photographs were accepted as exhibits.
[15] The court received a certified business names report, under the hand and seal of the Registrar of the Ministry of Government Services. This document showed that the business with the name “Adamson Barbecue” was registered under the Business Names Act, R.S.O 1990, c. B.17. The business was registered as a Sole Proprietorship, with the registered owner being Skelly, William Adamson. The business on the report had a mailing address of 176 Wicksteed Avenue, Toronto, Ontario, Canada, M4G 2B6.
[16] It is clear from this evidence that the defendant, William Adamson Skelly was the registered owner of the business “Adamson Barbecue” and that on the date(s) of each count, the establishment was in operation as a place of refreshments, and a licence to do so was not issued by the MLS division of the City of Toronto.
[17] For this reason, I find that the prosecution has proven all of the essential elements on these charges. The defendant, William Adamson Skelly, is found guilty of the charges found in counts 3, 8, 13, 18, 23, 28, 33, 38, 43, 58, and 63 of Appendix A.
Owner of a Refreshment Vehicle – No Licence
[18] The individual defendant, William Adamson Skelly, was also charged with 6 counts of an offence contrary to Chapter 545 of the Toronto Municipal Code, section 2A(34). These offences are captured in counts 68, 73, 78, 83, 88, and 93 in Appendix A.
§ 545-2. Licence requirement There shall be taken out by the following persons a licence from the Municipal Licensing and Standards Division authorizing them respectively to carry on their several trades, businesses, and occupations in the City of Toronto for which licence the person obtaining the same shall pay to the Municipal Licensing and Standards Division at the time of taking out such licence the fee fixed by this chapter, and no person shall, within the City of Toronto, carry on or engage in any of the said trades, businesses or occupations until he or she has procured such licence so to do:
(34) Every person who owns or operates and every person, other than the driver of a coffee truck, who drives a vehicle from which refreshments are sold for consumption by the public.
[19] The court heard evidence from BLEOs that from about March 4, 2021 the brick and mortar establishment at 176 Wicksteed Ave. was no longer operating and open to the public. In its place however, was a refreshment vehicle now parked on the premises.
[20] BLEOs testified that on the dates of each count, they observed:
- A food truck motor vehicle bearing Vehicle Identification Number (VIN) 1FCJE39L6WHB46997.
- An odor of food was emanating from the vehicle.
- Signage posted for “Adamson Barbecue” with hours of operation, and menus were visible.
- The service window to the truck was open and the truck was staffed.
- Patrons approaching the food truck and having an interaction with the staff, tapping debit/credit machines and then leaving with food containers.
- No licence issued by the City of Toronto was posted on the vehicle.
[21] Multiple photographs were taken by the BLEOs on the dates visited which illustrated the above. These photographs were accepted and marked as exhibits.
[22] The BLEOs also testified that they found Instagram stories purportedly posted by the business indicating that Adamson BBQ is now operating as a food truck at 176 Wicksteed Ave and that food was available to purchase. While the screenshots of the Instagram stores were accepted as evidence, I give them little weight as the prosecution was unable to establish that any of the defendants were the owner of the Instagram account.
[23] For each above count, the prosecution provided a certified document under the hand and seal of the Municipal Licencing and Standards Division of the City of Toronto. This document certified that Mr. Skelly was not licensed by the City to carry on the trade, calling, business or occupation of an “Motorized Refreshment Vehicle Owner” for VIN 1FCJE39L6WHB46997.
[24] The prosecution also entered into evidence certified VIN by date searches, under the hand and seal of the Registrar of Motor Vehicles showing the vehicle with that VIN was registered to the defendant William Adamson Skelly.
[25] Again, it is clear that this defendant was the owner of the refreshment vehicle and that on the date(s) of each count, the vehicle was operating and service food to the public without a licence issued by the MLS division of the City of Toronto.
[26] For this reason, I find that the prosecution has proven all of the essential elements on these charges. The defendant, William Adamson Skelly, is found guilty of the charges found in counts 68, 73, 78, 83, 88, and 93 of Appendix A.
Contravention of a By-Law under the Planning Act
[27] The individual defendant, William Adamson Skelly, was also charged on December 2, 2020 with 2 offences contrary to the Planning Act, R.S.O. 1990, c. P.13 at section 67(1) These offences are captured in counts 43 and 48 in Appendix A.
[28] Section 67(1) of that Act states: Every person who contravenes section 41, section 46, subsection 49 (4) or section 52 or who contravenes a by-law passed under section 34 or 38 or an order made under section 47 and, if the person is a corporation, every director or officer of the corporation who knowingly concurs in the contravention, is guilty of an offence…
[29] Each offence particularizes a contravention of one of two by-laws passed by the City of Toronto pursuant to section 24 of the Act. Chapter 200.5.10.1(1) and Chapter 60.20.20.100(1) of the City of Toronto Zoning By-Law 569-2013.
60.20.20.100 Conditions (1) Eating Establishment and Take-out Eating Establishment In the E zone, the total interior floor area of all eating establishments and take- out eating establishments on a lot may not exceed 500.0 square metres.
200.5.10.1 General (1) Parking Space Rates Off street parking spaces must be provided for every building or structure erected or enlarged, in compliance with Table 200.5.10.1 - Parking Space Rates…
[30] BLEO John Sophocleous testified that he attended the establishment on December 2, 2020 and that he took measurements of the total interior floorspace using a city issued laser and measuring stick. He testified that the area measured 15.18m x 34.1m totalling a little over 517 square meters.
[31] This would have been in contravention of 60.20.20.100(1) requiring the total floor area of eating establishments to be under 500 square meters in an E Zone. This would also have necessitated a total of 25 parking spaces for visitors, when Mr. Sophocleous testified that there were only 16 on the premises.
[32] However, the evidence given by Mr. Sophocleous was that he took the measurement of the total interior space of the building. The evidence heard by the court was that there were two separate restaurants in the building: Adamson Barbecue and Conspiracy Pizza. Adamson Barbecue only occupied a portion of the building. The court heard no evidence that the defendant had any ownership or control over Conspiracy Pizza.
[33] I have difficulty in assigning any regulatory liability to a defendant for actions that are completely beyond a defendant’s control. This would be akin to finding the leaseholder of single rental unit liable for the acts of the entire apartment building.
[34] Had I evidence that the entire property was owned or was leased to the defendant or that his business was the sole occupant of the building, this may have produced a different result, but no such evidence was before the court.
[35] For this reason, I do not find the defendant, William Adamson Skelly, guilty of the charges found in counts 43 and 48 of Appendix A. Those charges are therefore dismissed.
Offences involving the Corporate Defendants
[36] The defendant corporations, Adamson Barbecue Ltd. and Adamson BBQ Ltd. were jointly charged with Mr. Skelly on each count that I have already decided on above. The charges against the corporate defendants are captured in counts 1, 2, 6, 7, 11, 12, 16, 17, 21, 22, 26, 27, 31, 32, 36, 37, 41, 42, 46, 47, 51, 52, 56, 57, 61, 62, 66, 67, 71, 72, 76, 77, 81, 82, 86, 87, 91, and 92 in Appendix A.
[37] The court received into evidence certified corporate profile reports, under the hand and seal of the Director for the Ministry of Government Services. These documents show incorporation dates preceding the dates of the offences and that the corporations remain active.
[38] The mailing address of both corporations are listed as 176 Wicksteed Ave. Toronto, Ontario, Canada, M4G 2B6 and name William Adamson Skelly as the sole Administrator and Director of both corporations.
[39] The prosecution submits that they have led evidence which demonstrates that the corporations are “intertwined” with the sole proprietor business. I disagree with this submission.
[40] It is important to note the evidentiary significance of a corporate profile report. This document sets out the identity and existence of a corporation, and perhaps more importantly the directors and controlling minds of that corporation. A corporate profile report does not, on its own, demonstrate proof of the actus reus of an offence. Similarly, a driver’s licence is not proof that the holder of that licence was driving, nor is a property deed proof that the owner had no smoke alarms.
[41] The prosecution bears the burden of proving the actus beyond a reasonable doubt. Evidence must be presented to proffer proof of those essential elements. In this case, that the corporate defendants owned or operated an eating establishment or refreshment vehicle at 176 Wicksteed Avenue.
[42] Here, there is no direct evidence of any of those essential elements. The is no business agreement, supply contract, lease agreement, employment agreement, business names report, property ownership or any other document showing that either of these corporate defendants had anything to do with either the ownership or operation of the business “Adamson Barbecue”.
[43] I have also not heard any evidence from any of the prosecutions witnesses which tie the corporations to the business operations. The only evidence that I have is that these two corporations exist.
[44] There is perhaps a circumstantial case to be made that the mailing address on the corporate profile reports conveys an inference that the corporations were involved in the business. In order for the court to make a finding of guilt based on circumstantial evidence, it must be satisfied that it is the only reasonable conclusion available on the totality of the evidence. R v Villaroman, 2016 SCC 33, [2016] 1 SCR 1000.
[45] Based on the totality of the evidence that I have heard, I am unable to find as the only reasonable conclusion, that the corporate defendants were owners or operators of the business.
[46] While a for-profit corporation may be formed for the purpose of private enterprise, there are multiple conclusions that are reasonable based on the evidence before me. The corporations could have been formed as shell, or while active on paper could be defunct with no operations and no assets. Alternatively, the corporations could have been formed for the business operation, but it was later decided to organize as a sole proprietorship.
[47] The piece of evidence that I give the greatest weight, is also one that shakes the prosecution’s case against the corporate defendants. The business names report shows the business “Adamson Barbecue” was organized as a sole proprietorship under the ownership of William Adamson Skelly; not a corporation or partnership with any corporation.
[48] In the end, I am not satisfied that the prosecution has proven beyond a reasonable doubt that the corporate defendants owned or operated the business. The charges at counts 1, 2, 6, 7, 11, 12, 16, 17, 21, 22, 26, 27, 31, 32, 36, 37, 41, 42, 46, 47, 51, 52, 56, 57, 61, 62, 66, 67, 71, 72, 76, 77, 81, 82, 86, 87, 91, and 92 in Appendix A are therefore dismissed.
Aiding and Abetting the Corporate Defendants
[49] Although I have found the corporate defendant’s not guilty, it is important that I specifically address the remaining charges involving Mr. Skelly.
[50] For each count against the corporate defendants, the individual defendant William Adamson Skelly was charged with of aiding and abetting the corporation in that offence. These charges against are captured in counts 4, 5, 9, 10, 14, 15, 19, 20. 24, 25, 29, 30, 34, 35, 39, 40, 44, 45, 49, 50, 54, 55, 59, 60, 64, 65, 69, 70, 74, 75, 79, 80, 84, 85, 89, 90, 94, and 95 in Appendix A.
[51] The Provincial Offences Act, R.S.O. 1990, c. P.33, at section 77 sets out who can become a party to an offence.
Parties to offence 77 (1) Every person is a party to an offence who,
(a) actually commits it;
(b) does or omits to do anything for the purpose of aiding any person to commit it; or
(c) abets any person in committing it.
[52] The three subsections above provide pathways for a person to become the “offender”. The prosecution provided the case of R. v Briscoe, 2010 SCC 13 as the leading case on aiding and abetting. While this case deals with the Criminal Code provisions, I find the decision equally applicable to regulatory offences under the POA.
[53] In referencing this case, the prosecution submits that as the directing mind of the corporations, Mr. Skelly formed the requisite mens rea in aiding and abetting the two corporations. There is, however, a larger and more fatal issue with these charges. A person cannot be convicted of an offence as both the principal offender and as a separate party to the offence. S. 77 is explicit in the use of the word “or” and thus conveys that a person is an offender by virtue of one of the pathways.
[54] Charron J. in Briscoe states in para 13:
[13] Canadian criminal law does not distinguish between the principal offender and parties to an offence in determining criminal liability. Section 21(1) of the Criminal Code makes perpetrators, aiders, and abettors equally liable:
- (1) Every one is a party to an offence who (a) actually commits it; (b) does or omits to do anything for the purpose of aiding any person to commit it; or (c) abets any person in committing it.
The person who provides the gun, therefore, may be found guilty of the same offence as the one who pulls the trigger. The actus reus and mens rea for aiding or abetting, however, are distinct from those of the principal offence.
[55] The prosecution submits that as Mr. Skelly was charged with aiding and abetting, he is separately liable for the actions of the corporations. The prosecution submits that these are distinct and separate offence. I disagree with the prosecution in this interpretation.
[56] There is no distinction in liability between the perpetrator, the aider and the abettor. All are equally liable for the same offence. If a person is convicted for the same offence as the principal offender and the aider or abettor would run afoul of the principle of autrefois convict as laid out in Kienapple v. R.. A person cannot be held liable for the same offence more than once. When a conviction is entered, that liability ends.
[57] These are not separate offences; these are the exact same offence. They revolve around the same set of facts and the same delict. The charges faced by Mr. Skelly of aiding and abetting allege the exact same offence as those he faces as the principal offender. Had I found the corporate defendants guilty, I would have been required to follow the principles in Kienapple and stayed these charges against Mr. Skelly.
[58] However, as I have found the corporate defendants not guilty, there can be no finding of guilt against Mr. Skelly for aiding or abetting the corporations. The charges at counts 4, 5, 9, 10, 14, 15, 19, 20. 24, 25, 29, 30, 34, 35, 39, 40, 44, 45, 49, 50, 54, 55, 59, 60, 64, 65, 69, 70, 74, 75, 79, 80, 84, 85, 89, 90, 94, and 95 in Appendix A are therefore dismissed.
Conclusion
[59] I find the defendant William Adamson Skelly, guilty of the following charges at counts 3, 8, 13, 18, 23, 28, 33, 38, 53, 58, 63, 68, 73, 78, 83, 88, and 93 in Appendix A.
[60] Convictions will be entered on those counts. All remaining charges are dismissed.
