The Filer, The Intertain Group Limited, applied for exemptive relief from continuous disclosure, certification, audit committee, insider reporting, and corporate governance requirements.
Following a plan of arrangement, the Filer became an indirect subsidiary of Jackpotjoy plc, a UK-listed company that is also a reporting issuer in Canada.
The Filer's only outstanding securities are exchangeable shares and convertible debentures, both of which are economically tied to Jackpotjoy.
The Ontario Securities Commission granted the requested relief, subject to conditions including that Jackpotjoy continues to file its continuous disclosure documents in Canada and guarantees the Filer's obligations under the convertible debentures.
