The Manufacturers Life Insurance Company (MLI) and Manulife Financial Capital Trust II applied for exemptive relief from various continuous disclosure, certification, insider reporting, and prospectus qualification requirements under Ontario securities legislation.

The Ontario Securities Commission granted the requested exemptions, subject to numerous conditions, including that Manulife Financial Corporation continue to provide guarantees in respect of MLI's subordinated debentures and preferred shares, and that MLI and the Trust rely on the continuous disclosure filings of Manulife Financial Corporation.

The applicant, Guestlogix Inc., applied to the Ontario Securities Commission for an order declaring that it has ceased to be a reporting issuer in all applicable Canadian jurisdictions.

The applicant had previously obtained creditor protection under the Companies' Creditors Arrangement Act and completed a restructuring plan, resulting in it becoming a wholly-owned subsidiary of a sponsor.

The Commission found that the applicant met the requirements, as its securities were held by fewer than 15 security holders in each Canadian jurisdiction and fewer than 51 worldwide, and its securities were no longer traded on any marketplace.

The order was granted.

Pacific Safety Products Inc. applied to the Ontario Securities Commission for an order to cease to be a reporting issuer in all jurisdictions of Canada where it is currently a reporting issuer.

The Commission, acting as the principal regulator, found that the applicant met the necessary criteria, including having fewer than 15 securityholders in each Canadian jurisdiction and fewer than 51 worldwide, with no securities traded on a marketplace.

The order was granted.
