SCHEDULE “B” UNDERTAKING OF NON-DISCLOSURE (COUNSEL)
I, ______________________, of the City of Toronto, lawyer with the law firm of Miller Thomson LLP, legal counsel the Appellants in these proceedings, undertake that I will not disclose to any person, except as noted herein, confidential information (ie. information contemplated by section 53 of the Assessment Act, R.S.O. 1990, c.A.31, as amended, which includes actual income and expense information obtained by MPAC), supplied by MPAC. Such information may be disclosed only to other solicitors with this firm, paralegals, consultants or valuators, who have executed the same form as this undertaking and delivered an original executed copy of same to counsel for MPAC, and are engaged for purposes of consultation and preparation for the hearing in this matter. This undertaking does not extend to disclosure of such information or part thereof if, prior to its disclosure by MPAC, such information was in my possession, custody, or control as a result of my own independent investigations.
Information provided by MPAC shall not be reproduced or copied in whole or in part in any manner (including electronically) except as is strictly necessary to comply with the Rules of Civil Procedure, the ARB's Rules of Practice and Procedure, or an order of the Court or of the ARB. In no circumstances shall confidential information be transmitted by way of the Internet. All confidential information, including reproductions or copies, shall be returned to MPAC at the conclusion of the proceedings. Any confidential information that is stored electronically shall be erased and written confirmation of the erasure shall be provided to MPAC at the conclusion of these proceedings.
The information provided by MPAC may be entered on a computer disk. Such information placed on a computer disk shall remain on the computer disk and not be transferred or copied onto a computer hard drive, computer network or computer disk. The computer disk shall remain in the exclusive possession of the person executing the non-disclosure undertaking in a secure location. The computer disk shall be erased and written confirmation of the erasure shall be provided to MPAC at the conclusion of these proceedings.
I acknowledge that, subject to any Order of the ARB or a Court, it is the intention of the parties to these proceedings, that reference to or disclosure or production of the confidential information in the course of these proceedings, or any application for leave to appeal or appeal proceedings, will be done in such a manner as will preclude disclosure of the confidential information to any person, other than counsel, consultants and experts acting for the parties and the presiding members of the ARB or the Court.
For greater clarity, none of the confidential information produced by MPAC can be provided to the Appellants in these proceedings, only to its counsel, consultants and valuators who have executed the same form as this undertaking and delivered an original executed copy of same to counsel for MPAC, and are engaged for purposes of consultation and preparation for the hearing in this matter.
All confidential information, including transcripts and exhibits that refer to the confidential information shall be sealed at the end of the proceedings.
At the conclusion of this matter, any information given to me by MPAC shall be returned to MPAC by me.
