Hudson's Bay Company applied to the Ontario Securities Commission for an order declaring that it has ceased to be a reporting issuer in all jurisdictions of Canada.

The Commission, acting as the principal regulator under the passport system, noted that the company's outstanding securities are beneficially owned by fewer than 15 securityholders in each Canadian jurisdiction and fewer than 51 worldwide, and are not traded on any marketplace.

The applicants, Slate Office REIT and BMO Nesbitt Burns Inc., applied to the Ontario Securities Commission for exemptive relief from the prospectus delivery requirement and certain prospectus form requirements in connection with an at-the-market (ATM) distribution of trust units.

The Commission granted the requested relief, subject to conditions including trading volume and value thresholds, and specific disclosure requirements in the prospectus supplement.

The Commission also granted confidentiality relief regarding the application and decision for a limited period.

The Filer, Temple Hotels Inc., applied to the Ontario Securities Commission for an order to cease being a reporting issuer in all applicable Canadian jurisdictions.

The Filer represented that it had fewer than 15 securityholders in each Canadian jurisdiction, fewer than 51 worldwide, and no securities traded on any marketplace.

The principal regulator found that the application met the legislative test and granted the order.

The Filer, MBMI Resources Inc., applied for an order to cease being a reporting issuer in Ontario, British Columbia, and Alberta.

The Filer represented that it has fewer than 51 securityholders worldwide, its securities are not traded on any marketplace, and it is not in default of securities legislation.

The Ontario Securities Commission, acting as principal regulator, granted the order.
