Arkema S.A. applied to the Ontario Securities Commission for exemptive relief from the prospectus and dealer registration requirements in connection with a global employee share offering.

The offering allows Canadian employees to subscribe for units of a temporary fonds commun de placement d'entreprise (FCPE), which will purchase ordinary shares of the filer.

The principal regulator granted the requested relief, subject to conditions regarding the first trade of the units or shares acquired by Canadian participants.

Advantagewon Oil Corp. applied to the Ontario Securities Commission for a partial revocation of a failure-to-file cease trade order (FFCTO) issued in May 2023.

The issuer sought the partial revocation to complete a private placement of up to $60,000 by way of secured promissory notes.

The proceeds will be used to bring its continuous disclosure record up to date, pay outstanding fees, and apply for a full revocation of the FFCTO.

The Commission granted the partial revocation order, permitting trades necessary for the offering, subject to conditions including providing subscribers with copies of the FFCTO and the order.

The applicant, a control person of Shopify Inc., applied to the Ontario Securities Commission for an exemption from the prospectus requirement to sell Class A Shares under an automatic securities disposition plan (ASDP).

The applicant also requested confidentiality relief until the establishment of the ASDP or 90 days from the decision.

The Commission granted the exemptive relief, subject to conditions including that the ASDP complies with staff guidance, the applicant does not possess material undisclosed information when entering the plan, and the total shares sold do not exceed 2% of outstanding Class A Shares.

The confidentiality relief was also granted.

Tricon Residential Inc. applied to the Ontario Securities Commission for an order that it has ceased to be a reporting issuer in all jurisdictions of Canada where it is currently a reporting issuer.

The Filer represented that its outstanding securities are beneficially owned by fewer than 51 securityholders worldwide and are not traded on any marketplace in Canada or elsewhere.

The principal regulator found that the application met the legislative test and granted the order.

The issuer applied for a partial revocation of a failure-to-file cease trade order (FFCTO) issued by the Ontario Securities Commission.

The applicant, Frontenac Mortgage Investment Corporation, applied for exemptive relief to extend the lapse date for filing a renewal prospectus.

The applicant had ceased distributing its common shares and was engaged in the comment process with the principal regulator regarding an amendment and a pro forma prospectus.

The Ontario Securities Commission granted the requested relief, extending the lapse date to December 16, 2023, finding it would not be prejudicial to the public interest.

The filers applied for exemptive relief from certain prospectus requirements under National Instrument 44-102 and National Instrument 44-101 to renew the CARS and PARS Programme and offer Strip Securities.
